Neither. If you wish to upgrade over an existing Windows
operating system, you should purchase a conventional
"Retail Upgrade Version" of Windows XP that ships
in a box.

no not good this is a xp but the previous owner did not register it and
didn't give me software so I want xp home over it but register so I want to
put on top

So, purchase a Retail Upgrade of Windows XP Home Edition instead. As Carey
tells you, if you want to keep your filestructure and settings intact, you
will need a Retail Upgrade.

You need the Windows XP CD that originally came with
the Product Key.
