OKAY I upgraded from a AMD 3000+ which I clocked at 8 X 300 = 2.4GHZ, this NEW X2 3800+ ONLY clock to 2.2 - 2.25 GHZ, is this a normal Over clock using the standard cooler, and will I notice an increase in speed?

Give us some facts :) There are X2 3800+ for 2 different sockets, 4 different steppings, 3 different voltages & 3 different wattages - at least. Apart of it - no, it isn't NORMAL overclock, you should be able to clock 2.5 GHz at least. It depends of make/model of your mobo & RAM, settings in BIOS etc.
 
I may add that I clocked mine (x2 3800+ for s939) to 2.4 GHz without breaking a sweat, and it wouldn't heat up (ok, I'm not using the standard cooler, but the one I use is geared towards silence not high temp cooling)
More than likely, you've hit a snag concerning your RAM: reset the RAM settings to auto and try again.
Clean up your CMOS and do a proper attempt.
If you're using a mobo that scales the RAM's speed up when you clock the CPU higher, try to underclock the ram.
