C2D HSF

I decided to try to build a machine out of parts from my Dell and others that I have on the way. I've ordered an E4300 to put in my Dell and was wondering if the HSF from it will work on an Asus P5NE-SLI with my E6600 in a new case ?
I have no intention of overclocking till I can get something better, just want to know if this will work temporarily.

It should. Both the E4300 and the E6600 have 65 watt thermal design power ratings.

Thanks for the response, a buddy of mine told me that I shouild also be able to overclock a little with it.
