My PC loads the motherboard, recognizes both the 40g MAxtor 7200RPM and my DVD and proceeds to boot windows XP. The moment the load bar lights up, it freezes for roughly a second and reboots. I'm thinking its my Harddrive...any ideas?

Same thing happens in safe mode... it loads the files and proceeds to reboot right away

Is this a new build or an older one. Check your heatsink. Might just clean off old thermal paste and apply new. Make sure its on good. Reseat memory and any other connectors just to make sure.

Can you boot to the windows xp install disk or any other bootable cd?

just try booting from a linux live cd with harddrive unplugged,just to determine it's a hardware problem or software problem.
