We are nearing the end of a 180 Windows Server 2003 evaluation and have purchased the retail license. To perform the upgrade, is it neccessary to boot off the disc or can I simply insert the disk and select upgrade?

In my opinion you can input the licence key, if you need to upgrade using the disk, you should turn off the computer, as you cannot replace the open system files.
