If you abide by the EUA, no. Of course you can tell MS you are using your OS on only one computer, but install it on two and see what happens. They will ask when you are required to call them.

ok re formated win xp dl all upgrades everything ok but under device manager says outher devices with a yellow ? under that says RAID controller tryed to up date driver but nothing no clue what its for thinking sound but i reinstalled it from disk any ideas ?

The Raid controller has nothing to do with sound. Use the XP CD to install any drivers needed from Device manager.
