its an upgrade

GA-965P-DS3
EVGA 640-P2-N825-AR GeForce 8800GTS 640MB SUPERCLOCKED:?:
Intel Core 2 Duo E4300
CORSAIR XMS2 2GB (2 x 1GB) DDR2 800
Seagate Barracuda 7200.10 ST3250820AS 250GB

I need a good cooling fans/heatsink

I already have a 500GB and a 200GB SATA drive

why do I seem to be getting bad signs for that memory from this forum?

is overclocking safe or should I just go with the higher end CPU and keep it stock?

will my Enermax EG465P-VE 465-watt be enough for it?

Looks good. The PSU you have has enough power for the build, but before you'll need to upgrade if you get a better gfx card, like the 2900xt or 8800gtx.

I'm not sure about that ram though. I would get this set, there are D9s under those heatspreaders, on the best ICs you can get for oc'ing.

Oc'ing is completly safe as long as you're smart about it. Just go slow and keep a close eye on your temps.

Eh, IMO it's not worth it. With 2x 1gb sticks you can still install 4gb of ram. By the time 8gb of ram becomes mainstream DDR3 is going to have taken over. So you're either going to have a DDR3 board by then, or DDR2 is going to be cheap enough for you to scrap the 2x 1gb set and get an awesome 8gb set.

Plus, look at the timings on that stick! 6-6-6-16 is pretty loose, it's not going to oc very well.

That's a pretty good hsf, but the Thermalright Ultra 120 isnt that much more, and it's a much better hsf. They go for $46 ATM at Xoxide.

It was the best when I got it, sadly, it's been surpassed by the Thermalright Ultra 120 Extreme, which are even more expensive.

The Freezer 7 is still a great hsf if you can't get your hands on a Tuniq or one of the Ultra 120 variants. It'll get you past 3ghz easy.
