i want to do an upgrade from xp 32bit to vista 64bit. I built a new rig and had xp lying around but i have 8g of ram and want to use it all. Is this the right thing to buy?

I also see this on newegg and im not sure what the difference is. I know this one is a 32bit and you need an upgrade to get 64bit, but why is it so much more expensive?

it's more expensive because it is a retail version. retail licenses can be transferred from computer to computer. OEM licenses are technically for one computer only and will associate itself with your motherboard. I would get the OEM version if i were you, you can still "transfer" licenses if you change hardware by calling into microsoft.
