can i upgrade from windows xp 32-bit to vista 64-bit?

You can buy an upgrade version but you must do a fresh install. There is no possible way to do an in place upgrade from 32 to 64.

let me make sure i understand. i currently have xp pro 32-bit installed. i have an upgrade disc with vista 64-bit but i have to do a fresh install with the upgrade disc. right?

Yes, it is not possible to convert from 32 to 64bits. You can try it and the installation will disable the option of upgrading.
