  1. Change the permission on the file so only the people you want to have access to it have access to it.

  2. Hi Rajesh,

    In Excel 2003 go to Tools -> Protection -> Protect Sheet.
    In Excel 2007 go to Review -> Protect Sheet.

    There you can protect the sheet with a password or simply to keep yourself or others from changing only the necessary fields.
