I'm currently running Vista 64 Bit w/ an AMD Athlon 64 X2 DC 6000+ 3.1GHz and was wondering if I needed to re-install the operating system when I go to add my new AMD Phenom II X4 940 Deneb 3.0GHz?

No. I upgraded from AMD 5200 to PII 940 and my Vista 64 installation recognized the change properly, no problems. That was using a 780G chipset. Be sure to do a BIOS update to support the PII 940 if needed before you swap out the processors.
