Vista requires permissions?

I'm trying to replace a .dll file in my System32 folder with an updated version, but Vista pops up an error message that says 'you need permissions to do this' (or something to that effect - the word permissions is definitely in there). The only options are 'try again' and 'cancel'. How do I do this? I've been googling it a lot but maybe I'm not searching for the right thing. Any help is much appreciated.

What dll file is it? in most cases even if you overwrite a dll file in the system directory its replaced with a back up copy once Windows detects its changed.
