Not shutting down

My system is not shutting down properly.
XP shuts down the system powers off, then 3 secs later it powers on again. Only solution I have found so far is as soon as system powers up again, hold the power button down for 4 secs. Whilst this works, its is not really a solution, so I was hoping someone could help me.

I have tried a registry tweak
I have checked and unchecked all power management boxes.
Made sure that the LAN card is set not to wake the system.
Made sure the USB sockets cant Power on the system as well as the mouse and keyboard.

Also checked the bios and turned off all wake up settings.

Could it be something in the hardware?

One thing to check is the reset jumper for the CMOS. Be sure the jumper is on the correct pins and not resetting the BIOS each time your power the system down. The MB manual should have a diagram for the correct CMOS jumper settings.
