If not, then you don't need the 800MHz RAM; 533MHz RAM will suffice, although I don't think there's much price difference between the two now. If you do want to overclock, then get an E4300 - better multiplier, so easier to overclock. The DS3R is a better overclocker, although you can now get the bottom end P35 chipset from Gigabyte for less money. Finally, what display are you running on, and what parts are you bringing over from an old build?

If he gets generic DDR2-800 then an E6320 will go to 3.5Ghz very easily, and outperform a E4xx with 533 ram by a clear margin, I've also had very good results with the Gigabyte DS3's and DQ6's so personally would go for the P35-DS3R you mention
The x63xx is the worst O/Cer because of the low multiplier. The best value CPU is the e4400.
If I were getting a P35 MB, I would get the P35C from Gigabyte with the dual memory slots, future proofing.
I would suggest a minimum of 450W PSU, A good one will run $50.
Look carefully at all the RAM prices, Super Talent is OK, but other brands are better and almost the same price. If you O/C you will want good RAM.
