I would get a Gigabyte DS3R, it's only $140...

The 8800gts 640mb is only worth the price difference if you have a high res screen. Anything at or below 1600x1200 or 1680x1050 will work fine with the 8800gts 320mb.

This is great budget ram. If you arent planning on oc'ing, almost any 2gb set will do.

I would use x64 Windows XP Pro, just make sure there are 64-bit drivers for the harware you're using. Most things have 64-bit support at this point. x64 Pro is great because it's based off the same codebase and kernal as Windows server 2003, so it's insanely faster then 32-bit Windows. Plus, it's (obviously) a 64-bit os, so you can use more then 3gb of ram without problems, and you'll be less vulnerable to viruses (32-bit viruses don't work with 64-bits dll's).

Antec has been failing in their PSU reliability department recently, I woudl switch the power supply.

If you're planning on overclocking, then E6420 or E6600 would be adequate. I heard about some July price cuts on the quad cores, so you might want to wait until then, especially if you don't want to upgrade anytime soon.
