windows xp reinstall freezes

Trying to reinstall Windows XP after replacing the motherboard. It freezes right at the beginning where it says loading files. I've been told it's because I'm using an upgrade disk instead of an OEM. They also said it is because my MB is too advanced for XP to load from 98? (Asus P5N-EM HDMI). Does this mean I have to buy another xp disk to get back up and running? The old XP disk worked through this type of set up/reinstall before. So why now?

Called Asus and the tech told me to try reinstalling the windows xp (home edition) on just 1g memory placed in the slot closest to the PCU. It worked!
