Stock 8800gtx vs most expensive 8800 ultra:

Besides clock, memory speeds and price, is there any difference between lets say this:
and wouldnt it be possible to overclock the cheaper card to speeds of the ultra?

There is only one difference, and thats the Core.
The 8800 Ultra core will overclock to around 680Mhz, where as the 8800 GTX core will overclock to around 660Mhz.
Is it worth the extra 300$?

yea, definetely go with the gtx. the ultra is literally just a higher binned gtx, guaranteed to over clock a little further (~20Mhz according to track). save your $ and spend elsewhere. goodluck
