I was hoping someone could tell me if this would work as a whole. Any thoughts or suggestions would be great as this is the first time I will have build my own computer all the way from scratch. Please be very critical if you can, thanks! I included everything including cooling compound and case fans, things like that you don't really have to look at unless you want to. I really appreciate the help, Thanks again.

The Ultra case is purely a matter of personal taste, but the PSU with it can be found on Tier-5 ("Do not buy") of this list:
http://www.tomswiki.com/page/Tiered+PSU+Listings?t=anon

I would suggest one on Tier-3 or better. I have seen a lot of recommendations for Corsair HX PSUs around here lately.

You've selected an OEM package for your DVD burner. If you need the software (including a decoder), get a Retail package for maybe $5-$7 more.

The reviews on that cooler don't look so good. The Freezer 7 Pro is supposed to be a better inexpensive cooler:

Its price is also down to a very reasonable $20.

Vista patches won't be out until 1Q2008. I would suggest XP until then, unless Vista specifically offers you something that you need.

Thanks for the dvd drive advice. I had no idea that was OEM. Also, about the board, I wasn't planning to go with DDR3 as of now, but I was going to try and leave the option open for a later upgrade when the memory starts getting better. Does this seem like a reasonable option or would you suggest I just go with the p35 DS3R anyway? (PS, thats what I was going to get in the first place)

With P35C (and all other DDR2/DDR3 hybrids) you have to throw out the DDR2 and put the DDR3 in instead. You can't have both at the same time. Even if DDR3 becomes much cheaper and much faster than it is now, it still doesn't look that tempting. Look, I have 4 GB of DDR2. Assuming that I can get 4 GB of fast DDR3 in Dec 2009 for $300 (like I paid for the DDR2 a month ago), it would bring some improvement but not much. The same $300, at the end of 2009, will buy a video card that can humiliate the 8800 GTX, or a CPU that can humiliate the Q6600, or a 2 TB disk drive. TBH upgrading from DDR2 to DDR3 is very low on my list of priorities. Besides, by Dec 2009 I may want a new motherboard with PCI-E 2.0 and other goodies not even invented yet.

So yeah, save your $30 and get the P35-DS3R rather than the P35C-DS3R. I got the P35C but I couldn't get the P35 where I live. Why the heck don't newegg, zzf and amazon ship electronics to Canada???
