ok, i'm looking to upgrade from my p4 2.4ghz to the e2160 and overclock to 3ghz. my issue is $$$ ofcourse. I want to keep most of my stuff, (case, agp video card, hdd, etc) I'm looking for a decent mb under $100 and some ram too. could someone help me pick out hte pieces? i saw before someone recommeded a asrock mb but i've never heard of them. I've only used asus and abit in the past. THanks

Problem is the AGP card. I wouldn't recommend keeping it. You probably won't be able to find a mobo to OC to 3 gig with a AGP slot on it (correct me if I'm wrong here, someone). Here is what I would recommend (of coarse not knowing your budget).

ok is that the asrock mb i should get? i just bought a 7600gt video card a while back and i don't want to toss up an other 150$ or so to get another video card that doesn't perform as well. memory and cpu recommendation is good and i'll just have to keep looking for a mb now. unless the one above is good to oc poosible to 3ghz.

Not worth it. Resell video card on eBay. PCIe is the only way to go, if you bought a 945/AGP motherboard today, it's obsolete the minute you buy it (because of the antiquated interface). Go for a P35/P31/G31/G33 motherboard and just buy a new video card. You should be able to get $60-80 for a 7600GT on eBay, and a 7600GT PCIe on newegg for $80-100. Buy this one:
