I was looking into getting 4GBs of memory but to make full use of it i have to switch to 64-bit vista which i dont know is worth it.. Is the PSU gonna be enough for some future upgrades like a 45nm quad-core and a new vid card?  I will be doing some overclocking but nothing extreme..

I would think about getting a different PSU. If(or when) someone posts a link to the PSU tier listing, try to pick on from the top 3 tiers. I would also thinking about going to a more watt one. Maybe a Corsair 520HX or 550. Especially if you are overclocking.  
 
Otherwise, that looks exactly like the system that I am building.

I'm not crazy about the PSU you chose. Look to Corsair for a quality PSU. The HX520w would be excellent.
