i have window xp pro 32 bit, can i use a vista 64 upgrade disc to install a fresh full version of vista if i boot from the disc?

No you cant upgrade an 32 bit xp to 64 bit vista..
have to do a fresh X64 install

Yes, you can. Setup should give you the option of doing a clean install, since it's not possible to directly upgrade 32-bit XP to 64-bit Vista.
