I have a similar thing. I just upgraded from a PD that I had to a quad core (Q6600). Windows xp 64 seems to have no problems with it. Anyone know if I should be having a problem or suspect that I have one I am not aware of?
IF your MB supports the new processor and that's the ONLY thing you're replacing then no, you won't need to reinstall Windows.
But you may want to check your MB manufacturer's website to see if you need a BIOS update in which case you'll want to do that before actually replacing your CPU.

I did this exact same move not long ago, and when I booted back up (new board and q6600) Windows had to go through a few driver installs and reboots, but it worked great. I have since reinstalled WinXP, but in my experience, it depends primarily on the motherboard drivers needed and if they are close enough to the previous versions (ASUS board to new ASUS board).
