Upgrading my pc, and I need help

Right now I am running a Coolermaster 600w PSU (I hear they suck, why?), EVGA 8800 GT Superclocked, C2D e6300, 2gig of garbage ram, and some no-name mainboard that came with my computer (I cant overclock, or even turn off speed stepping). So I decided that I want to upgrade my motherboard, ram and processor. I originally looked at picking up an Asus Maximus Formula, C2D E6750 (and overclock it instead of buying a 6850), and 2gig's of Kingston HyperX 2x1GB PC2-8500 ram. I can afford it, but I want to trim the price down so I came to the experts and humbly ask for your advice.
Since my graphics card is pcie-2.0 capable, I wanted to go with the x38 chipset, plus I like the option of getting ddr2-1066 ram. So I was wondering is the speed gained from pcie2 and ddr2-1066 ram worth the extra money I have to spend, because I can cut at least $150 by going with a p35 chipset and ddr2-800. Since I have chosen Nvidia, the crossfire support of the Maximimus Formula is unnecesary to me as well. As far as the processor is concerned should I even buy the e6750 at all? I do have a 6300 and a new processor will set me back $230 after taxes (I live in Canada). My other concern with doing a bigger overclock on my 6300 is that the last time I oc'd was way back when I took my pII 300 all the way up to a blistering 3 twenty-something (yeah, that long ago). Thanks for the time and your help is greatly appreciated.

OH, and one more thing. My 8800 gt runs at an almost gross temperature, ATI Tool says that my card runs at 74 degress at idle and I have seen it reach 93 when stressed. I know that the 8800 runs hot, but thats not normal, right?

Not really, no. You will notice almost no difference between PCI-E 1.1 and 2.0, in fact, most GPU's don't even use all the bandwidth provided by PCI-E 1.1. As for the RAM.... unless you're into some mighty high OC's, just go with DDR2 800.

Use Rivatuner and up the speed of your fan. I know many 8800GT's have fan problems where the fan never exceeds 24% speed. It should probably be up around 60% or higher under load.

Faster ram doesnt mean faster performance. You will not see a difference between 1066 ram and 800 ram.
