Read the C2D guide here, I learned how to OC my E8200 on my P5K-E from there. 3.2Ghz shouldn't be a problem, given that heat isn't a concern.

One more question what would be the best price/performance ddr2 1066 memory for p5k-e Wifi/Ap and E4400?

you dont need ddr2 1066 ram it just totally waste of money. since the E4400 got 10x multiplier you dont need ultra high speed ram to get high OC. just get some CL4 DDr2-800 ram and it will do the job. lower the multiplier to 9X and max the FSB along with 1:1 ram ratio.

the E4400 will be max out anyway its a physical core limit nothing to do with mobo or ram. its known as a FSB wall. so maybe 8x multiplier will get you better result.

but in 3-4 months I will swap to e8200 or e7200 and I was thinking of Ram that would be good for these and of course e4400

if you swap to a E7200 DDR2-800 will still do the trick. but E8200 in the other hand needs 1066 DDR2 and a very overclockable mobo. what mobo you have?

Would GeIL Dual Evo 2x 1GB DDR2 800 MHz CL4 do the job?

You tell me what I do.

yeah it should do the job just fine. as you can up the voltage to 2.2V+ and loosen the timing to CL5 and you should(may not) get DDR 1000+ but at least i think you will get 950mhz. which equal to 450FSB.
