Soon after I am going to pick a 500mb Seagate, 2nd pack of ram 8gigs!! and a after market Heatsink.. I have the OS also.. Kinda on a tight budget for the initial purchase

Do not get the 320mb GTS. The GT is better or better yet the NEW G92 GTS 512. Those perform better and the main difference between the GT and G92 GTS is that the dual slot cooler is quieter and makes the card run cooler

Truthfully if you can sport the $50 without changing anything, DO IT
I have the GT and though I like it, Im replacing the cooler because 1) It runs pretty warm and 2) at full blast its loud. Its not like a fan "whooshing" loud, its an annoying whining and revving sound
Also without OCing the GTS will give better performance

look at the benchmarks yourself for the two cards before you decide. (back to Tom's and look for the graphic card benchmark links.)
i personally favor the G92 GTS because (1) card is double wide, the second slot being the cooler, which pumps hot air out the slot in the back rather than returning the hot air to the case, and a cooler case is a good thing for OCing, and (2) slightly better performance than the GT. but make up your own mind.
a lot of folks, some of whom i even respect will tell you the GT is the better value since it is cheaper and the performance is in the same ball park, but i have heard bad things about the fan/cooler on that card. however, if you are not OCing and cash is tight, the GT is a nice card and I doubt you will regret it. at least not until NVidia releases the 9000 series of cards in a few months.

why the Abit P35 motherboard? if you really like it get it. but if you are still open to suggestions...
if you are not going to do RAID or run dual video boards, might I suggest you look at the GA-P35-DS3L:

it is often mentioned in this forum. it is very stable, easy to overclock, really inexpensive, and an excellent choice as long as RAID and SLI are not part of your build. The latest BIOS for it makes it penryn friendly for that E8400 chip you mentioned.
