Difference between OEM / Retail

What is their difference?

I'm planning to buy the E8400 3.0 GHz Wolfdales OEM and I'm not sure what the difference is from the retail. I think it's the fan/heatsink? What if I already have a thermal ultra 120- exterme and a scythe s-flex, can I use that instead of the one that comes with the retail for E8400?

Retail comes with HSF and a 3 year warranty. OEM is just the chip and only carries a 1 year warranty. You will be fine with your TRUE and S-Flex.
