OK, I'll first post my current rig , which is a dell 8400 I got 4 1/2 years ago. The asterisks are components I added myself or will be keeping

250 gb samsung hdd*
p4 530 3.0 ghz
dell motherboard- 925x chipset
Lite-on dvd burner*
Asus EAX1950 pro*
2 gb patriot ddr2 800*
OCZ gamexstream 600w*
and the hunk of plastic dell case that I will have to replace

My new build (which will be my first):

e2180-OEM (plan to overclock to at least 3.0 ghz) 70$/50$ w/ rebate (don't know why the link says 80 dollars now, it doesn't say that in my cart)
http://www.tigerdirect.com/applica [...] 2-PD-E2180

along with this heatsink and fan- Masscool 8W553 25$/15$ w/ rebate
http://www.tigerdirect.com/applica [...] =S457-1035

(had to buy the heatsink from tigerdirect because it says that the cpu will not be returnable unless a compatible heatsink has been purchased on the same order, which seems unfair to me but I don't want to risk getting a dead cpu and not being able to return)

Antec P182 ATX Mid Tower - 140$/90$ w/ rebate
http://www.newegg.com/Product/Prod [...] 6811129025

ABIT IP35-E - 90$/60$ w/ rebate
http://www.newegg.com/Product/Prod [...] 6813127031

total before/after rebates: 325$/215$
I'm flexible on the case, I just want a case that has good airflow for overclocking, good fan options etc.
criticisms?

The list looks great to me. You won't have any problems overclocking. Just keep the FSB around 400mhz.

CM690 (coolermaster), or Antec 900

alternatively, the coolermaster centurion 5 works well as a budget case

I actually ended up getting the case for 60$ ! 50$mir, 30$ promotional code, and 30$ instant savings off the 170$ price. So I am happy with the purchase.

Unfortunately it arrived totally broken (the entire front panel was disconnected) so it had to be RMA'd. But the replacement should come soon.

I ended up also getting arctic silver 5 and articlean 1 and 2,
the total for everything was 216$ after shipping and including rebates.

ps I see the case has gone up to 150 now. I will post pictures when I get the case and put it all together. Thanks guys
