P5WD2-E Premium Booting issue

I purchased the following back in May 2006:

Mobo: Asus P5WD2-E Premium intel 975x (LGA775) BIOS Rev 0604 (on the Mobo Rev 1.02G)
CPU : Intel Pentium 4 805 Dual Core "LGA775 Smithfield" 2.66GHz (533FSB)
RAM : GeIL 2GB (2x1GB) PC5300 667MHz DDR2
PSU : Zalman ZM460-APS 460W
Video card : ATI Radeon X1800 GTO 256MB
CPU Cooler : Zalman CNPS9500-AT Aero Flower
HDD: Maxtor Diamondmax plus 300GB

When powered on and no beeps occur. Everything powers up. The fans are on, the green LED on the Motherboard is on. Then after a 3 to 4 or so mins the post springs into life and the system runs...its amazing. Any ideas and advice will be greatly appreciated.

I have reset BIOS to default settings and same thing as above ... currently its overclocked to 3.6GHz and running smoothly when on. However, when I switch the system off and leave it for a while and returning to it ... it does the above again - frustrating it is; almost 2years of this!

I have installed all the latest updates and drivers on it.
