What programs do you run?

If you're getting AM2, might as well get a mobo that does AM2 & AM2+ out of the box. i.e. 790FX chipset. Too expensive? 770 chipset. Unless you run virtualization (os emulation) or overclock, consider a Phenom. It's not as bad as the press make it out to be.

I would personally go Intel with your budget.

For roughly the same prices (or less):

Intel Core 2 Duo E6550 processor

Gigabyte P35-DS3R motherboard

G. Skill DDR2 800 2x1gb kit - the kit with red heat spreaders

The rest of your stuff looks good. Honestly, the E6550 will be far better in the long run than a 6400+. If you are in to overclocking, it should clock to 3.5 with a good cooler on that board.

All on Newegg, btw.
