I was looking to buy said processor and was wondering if there were much of a difference between the two of these:

I know the one comes with a fan, and the other doesn't. I already bought a good cooling system for the processor and don't need it, so I was just looking to buy the one without, but that one doesn't specifically say "Black Edition". Does that mean they're not the same, like spec-wise and what-not? I wanna still be able to overclock it and such.

Both shud be the same.....i'd say pay the extra $10, u get a spare cooler, plus 3 whole years of warranty :) Also the retail one comes in a nice decent box, so its a bit more safer while shipping :)

Ah okay..Guess I'd do it for the warranty deal, the cooler doesn't interest me much, already got a spare one :p And a 212+ with a push/pull. Thanks.
 
The OEM version only comes with a 1 year warranty, the retail version has a 3 year warranty. Generally speaking, CPU have very low failure rates unless it has been improperly installed or has been OC'ed to death. The retail boxed version has better packaging so getting a defective CPU due shipping damage is virtually no existent. OEM CPUs can have a very slight chance of being damaged when shipped, but that total depends on how it is packaged.
