Help decide cheap 775 oc'ing mobo.

My current socket 775 board is a GA-P35-DS3L, for the first two days i was completely satisfied with it(because the over clocking and bios worked). But after getting a new(slightly slower) system for x-mas i hadn't touched this setup for a while and the ability to RMA it ran out a while ago. I Experienced the glitch where it would not save the bios settings and would keep restarting and sometimes turn on. I decided to keep it though because i got a free 3.4Ghz P4 Prescott for the 775, but i also need a cheap oc'ing alternative for my Pentium 2160. Also does anyone know how the Prescott(1mb L2) compares to an Athlon XP 3200+?
