Thinking that they can give me please to play games like COD4 and WorrldOfConflict with some reasonable performance , adn let me watch TV fomr other side. Second important thing is that I want this card to be quiet as possible. I dont know if there is such card with passive cooler or not but I really can stand the noise.
What do you suggest me, please ?

The All-In-Wonder cards are not what you want to be using for gaming. Back when they were actually being made there were only a generation or so behind, but since they dont make them anymore, its 4-5 generations back there. you would be better off with a newer graphics card and a seperate tv tuner. i can make some suggestions if I know your budget and current rig..

There are no 'All-in-Wonder' solutions for the past few generations of graphics cards. The best video tuner cards are the 1600/1800 cards by Hauppauge and the TV Wonder 650 by ATi.

It's a weak card, but you wanted it with a passive cooler. Anything better, such as an 8800GT, will be bottlenecked by the CPU anyway.
TBH I'd rather buy an HD3870 or 9600GT or even 8800GTS 512MB, even if it does have a fan. It won't work at its best, until you upgrade the motherboard and CPU, but it would still be better than the 8600GT. (About twice as fast or more.)
Whatever video card you buy, make sure your PSU can handle it or get a new PSU too.
Edit: The ATI Theater 650 is very nice. My Dad has one, as well as a Hauppauge PVR-150, and I think the Theater deals with noise a little better. This is subjective, of course, I can't measure it.
