Just get a AMD X2 6000+ for $76 from newegg, shipping & Handling is usually free on this processor.
If you want the best over-clocking CPU, get the 6000+ based on the Windsor core with 2mb Cache that runs at a stock speed of 3.0GHz. This processor is a little more expensive then the other 6000+ but the over-clocking is impressive.
I had mine up 3.6GHz rock solid with no voltage tweaks.

I had a 4000 in my comp until I upgraded to a 5400 BE recently.

With the 4000 and a stock cooler 2.6 was about as high as I could go and the case had really good airflow. When I upgraded the cooler I was able to hit 2.8 stable but anything higher and I was getting prime95 errors.

From my research 2.8 is the sweet spot for a 4000. Anything higher you will need really good OCing ram/mobo and pretty major voltage increases.
