I'm planning to buy an E8400 CPU. Many motherboards like P35 need BIOS update in order to support these CPUS.
My question is, if i buy a motherboard like GA-P35-DS3L or Asus P5K which according to their websites need a bios update to support E8400, will motherboards recognize E8400 in order to update BIOS or they will refuse to boot at all?
I don't want the E8400 to work at its full power with motherboard just out of the box with its shipped BIOS but only to work in order to be able to update its BIOS to work at full.
Any help would be appreciated.

It won't boot. Unless the board is among new stock that comes with a later bios version. It's hit or miss though. Consider getting a newer board that supports 45nm cpus without bios update. A p45 board should do fine, and it overclocks better than p35 too, which is good for e8400. $99.99:
