is there any physical differences between the GTX and ultra or is it just higher clocks.

The cooler is sometimes slightly better on the 8800Ultra and it's impossible to overclock an 8800GTX's memory to the same speed as the Ultra without a voltage mod.

Clock, cooler, price. Also a different firmware flash for the clocks and PNP recognition as an Ultra not GTX.
