In the final stages of ordering a new HTPC, which will be used as a gaming pc as well.
 
Tv is a 46" samsung lcd 1366 by 768 res, will be playing console style games like Assassins Creed, Tomb Raider Legend, Resident Evil ( love that game ), Crysis, Gears Of War and Alone In The Dark, Devil May Cry 4, Left 4 Dead, Prototype when they comes out with Xbox360 controller...

Going to be buying from this place, they are very cheap and I have bought from them before and highly recommend them to anyone in europe..

Should I upgrade ram to 4gb or get a better video card like 740mb 9600gt for €40 more?

Another good matx case to be considered. Up to 5 120mm fans:

The mobo isn't a good overclocker. I don't know if you can get 3ghz out of it. The good ones are ATX.
 
Look at E7200/E7300 for about $150 US. It's the new 45nm. 4ghz isn't impossible on air.
 
Another good psu brand to consider is Hiper.
