Mikedv, suggest not doing this until you sort out the other problems with
the hard drive. Malke has explained to you how to check the health of your
hard drive. Also, check out this article. It mentions your error messages
and discusses some possible solutions:

Not mentioned in the above article but important: If GoBack is installed on
the WinME system, remove it before upgrading.

Also recommend running the program on the XP upgrade CD that checks your
system's readiness for upgrading. It may indicate a program or two that is
not compatible and that will need to be uninstalled before the upgrade can
take place.
