Ok I would go with:

Asus P5K,
C2D E8200 (better overclocker),
I recommend the thermalright Ultra 120 extreme cooler (very good for overclocking)
I would try and go with the 8800GT 512mb.
For this I personally would fo with 600w min for running a single card but if you are planning on doing SLI, then get 750w minimum. Try and pick something as good as possible off this list. The PSU is one of the most important things in a system.

Incorrect information.

That build doesn't require more than 450W. Go for a Corsair 450VX PSU.

Also, the thermalright Ultra 120 is an old girl now....there are two new cooling bosses out there right now....Sunbeam Core Contact Freezer and XIGMATEC HDT S1283. Check this link.

although the Sunbeam is at number one, i doubt if its available in Iran, cos it just released in the US. So if you find the Xigmatec, get it without further thought.

Now regarding GPU, at 1024 there is hardly any difference between the 8800GT and 9600GT. what are their prices at your place right now? If there is a considerable difference between their prices, get the 9600GT. It should serve you very well.

Intel E6750 * Gigabyte GA-P35-DS3L * Galaxy 8800GT 512mb 620MHz* Corsair VX450 * 2GB Transcend 667* 2x120GB Seagate SATA * Altec Lansing ATP3*

Either 8800GT or 9600GT would be a great choice.
The 300/270 price is a pretty accurate price/performance ratio indication.
If you can find a E7200 2.53Ghz Wolfdale CPU for a good price it's very close to the E8200 in performance.

Tuniq Tower 120 will require that you also buy a fan for the heatsink. It cools the best of the 3.
CM HyperTX2 and Zalman 9500 are about equal in cooling, but not as good as TT120. They will do a very good job of letting you keep an OC cooler than a stock heat sink & fan.
Tuniq Tower 120 will require that you also buy a fan for the heatsink. It cools the best of the 3.
