System freezes, memtest86 reports nothing

I built the following system based on a barebones package deal from Tiger Direct:

PCChips A13G+ v3.0 Motherboard
US Modular 1024MB PC4200 DDR2 533MHz
AMD Athlon 64 3500+ Processor
Power Up Black ATX Mid-Tower Case with 450-Watt Power Supply
XFX 7600GT AGP 256M video card
Seagate ST3200822A 200GB IDE
LG DVD-RW drive
Windows XP Pro SP2

It freezes (display remains, all input devices frozen) on average once every two or three days. I ran memtest86 on it for almost a full day and it reported no problems. I'm kinda' inexperienced at troubleshooting these kinds of problems, so I would appreciate any suggestions on isolating and resolving the problem.

Most likely it's software. When it freezes up, does it come back out or keep on freezing? You can try a live Linux distro. No install needed. Just boot it up. Let it run for a day or 2. If it doesn't freeze in Linux, it's your windows.

Another good tool beside memtest is UBCD. Run the Prime test for 8 hours.
