if i install xp on a machine using the oem sticker already attached to it and then sell the machine in a shop is this legal?

If the CD key on the sticker works to do the install, certainly.

Not exactly, you may have your backup copy as the only media you have. The operating system is licensed, not the plastic CD. A person may not have any media, and that won't void the license of the operating system installed. Having your own, exclusive CD key is what counts.
