Unable to boot

I am using Intel Core 2 Duo 2.2GHz with Intel 945GCNL Board. After restart i get boot advanced options screen. I am unable to go to safe mode. It stops on the mup.sys loading line. No HDD light blinks. I replaced HDD and tried to clean install, it loads all drivers and stops when "Starting Windows". No HDD activity and no response. I also replaced RAM. what may be the problem?Please help me.

Run memtest86+. This will check memory, and narrow down the problem.
