Which Mobo should I choose ?

I'm using a 2-year-old PC and recently I installed Palit HD 2600 XT. And the problem is that my Mobo (GIGABYTE 8i945GZME) has an X16 PCIe but only support 4x link width. And this makes little advantage over the integrated one (Intel GMA 950).

I'm planning to upgrade the PC and I have figured out 2 mobos that meet my requirement and budget
- MSI P35 Neo2-FR http://www.newegg.com/Product/Prod [...] 6813130098
- ASUS P5K-PRO
http://www.newegg.com/Product/Prod [...] %2bP5K-PRO

Here is my current CPU and my money does not allow me to upgrade into Core 2 Duo. Its FSB is 200 Mhz and x15 Multiplier. Should I buy a PC6400 RAM ? The RAM would run at 400 Mhz then the FSB:DRAM ratio is 1:2 . Will there be any bottle-neck ?
