no, it isnt a very good upgade sorry, for that money though with today orices maybe you could squeeze together a e2160 + p35/g33 + 1gb (2bg?) RAM. and put that in your system, that would be an upgrade.
I agree with dobby...its definitely not worth that much money to simply swap out the processor...if you were planning to swap the gpu/soundcard/ram, then why not get new parts??? You said you were unexperienced, but swapping out gpu/soundcard/ram is probably just as "difficult" as swapping in a new cpu and mobo...like dobby said, you could easily get a cheap dual core that will GREATLY improve your computer.
