First, if I add one more GB of RAM to make at total of 4GB, will the 32 bit system be able to use 4GB? Second, the Toshiba L305-S5968 is dual core w/ a 320GB hard drive, am I able to upgrade to Windows 7 Ultimate?
 
Wrong forum- try the Vista forum next time. No, a 32 bit system will be unable to utilize 4GB; you would have to install a 64 bit version. Depending on the motherboard and memory, it will use anywhere from 3 to 3.5 GB of it in 32-bit. Yes, you would be able to upgrade to W7.
 
Go for the 4 Gig memory, even if you stay with 32 bit Win 7. Also have Tosibia A305 (came with 3 gigs & vista 32 bit). Installed win 7 RC 32 bit then upped memory to 4 gigs. It increased the WEI graphics by 33% (Basicly 3.x to 4.x). Both your/my laptop can use shared memory for video.
