now my question is:
what's better for my Motherboard: DDRII 800Mhz or 1066MHZ
i am not going to O.C...

It's a X38 motherboard.
Stick to DDR2-800. There are some compatibility problems with DDR2-1066.
Save the extra money if you are not going to overclock.
You could even go with DDR2-666, although I would recommend DDR2-800.

Are you talking about P5E X38 or P5E Deluxe X48? Either way, if you're not considering Crossfire you could save a bunch with a GA-EP43-DS3L or a P5Q, depending on what features you want.
If you do want to be able to use Crossfire later, I'd recommend a 750TX or Silencer 750W instead of the 620HX. (The 620HX can do the job, but it's a bit of a stretch IMO.) They are cheaper too. Either P5E would be fine for Crossfire.
Get 2x2GB of DDR2-800.
If you need a HDD and a burner I recommend WD6400AAKS and SH-S203B.
Edit: funny, the X48 version is cheaper than the X38 right now at newegg. I didn't expect that...

It depends. If you don't overclock, get DDR2-800. It will be just as good and cheaper.
If you do overclock, DDR2-1066 is better. Still, DDR2-800 is enough IMO. For example you can run the MB at 400MHz, the RAM at 800MHz and the CPU at 3.6GHz, and DDR2-800 will be just fine for that.
thanks again Aevm but i am not going to overclock so how am i going to run CPU @ 3.6GHZ? and can you overclock your MB? (i am not going to do Overclock to any of my parts..)

btw i heard that Xigmatek is better than Arctic cooling ... in the coolers round up.. and AC Freezer 7 pro looks i dunno.. Cheap...are you sure it will be good??
and what's better OCZ or Corsair?
The Xigmatek is better yes, if you're looking for high clocks. The Freezer is smaller and cheaper and very quiet, but it will not allow clocks as high as with the Xigmatek.
