My DFI lanparty nf4 ultra-d died. I can get another used ultra-d or a new SLI-d to replace it, both about the same price, or another choice yet to be named by you. I just figured DFI since my CPU (opty 165) and northbridge cooler (evercool) will fit. What other choices do I have with a 939 socket and OC friendly mobo? Thanks.

None. However, go with the new motherboard if you do have access to one.

If you can get a used board like you original one I would go for it.
New 939 boards are hard to find and overpriced now.
