yehh, what he said. i have the AMD 5000+BE and have it OCed @ 3.12GHZ with only 1.37V. im sure if you had a nice mobo you could OC the 5400+BE even further.
the E7200 can get a nice OC though. BUT... if money is whats important then go with the 5400+BE, im sure you'd be happy with it. :)

if you have a really nice CPU heatsink and a mobo that can give it the volts, im sure you cold push it to 3.5GHZ. just make sure you the cooling for it. im not experienced with intel core 2 duo OCing though, ive only heard that they overclock pretty well

Intel processors overclock like butter I slipped my fsb of the e2140 from 200mhz to 300mhz (2.4 ghz) with a cheap G31 stock cooling and stock voltage. You can go higher but I like the low temps.

I have an older CPU cooler on my E4400 and it pushed 3.0GHz on it without heat issues, and its a 65nm rather then 45nm CPU, so the E7200 should fair even better. Get a decent cooler and 3GHz+ with it won't be an issue at all.

I hear reports on various forums that e7200's can get up to and beyond 4 ghz - but you shouldn't "expect" that. on a side note, if you were planning on just going for maximum value overclocking, an e5200 might be worth investigating.....
 
The E7200 is much faster for most things.

The forums show a few people with high clocks on these so I expect you should be able to reach what you want.

I do suggest you investigate an aftermarket cooler and make sure the case airflow is good ... so you keep it nice and cool.

well actually u are comparing apples with oranges at that price difference b/w the two cpus....plus u havent mentioned your current type of usage...the e7200 is hands down better at stock and overclocked compared to the 5400 BE but ...consider the price difference and it is not that good of a deal compared to the amd...if gaming is your thing then by all means get the intel but if its the rest of the stuff like decoding and editing stuff then get a quad core or even triple core amd for the same price as 7200 and ull be happier...so basically it depends on your type of needs

Here's a recent review of the new 7200 budget Wolfdale, comparing it favorably to the Allendale Core 2 duos and to the two AMD competitors. The triple core 8750 keeps up in situations where 3 cores are used, but is slightly behind the new Wolfdales in most games.

Still, I chose the 8750 because I wanted to be futureproof and because I do more than just play games and can benefit from 3 cores. The 8750 supposedly overclocks to 2.7 but I haven't gotten an aftermarket cooler, only have an SB700 and haven't tried it yet.

If your goal is to overclock now and upgrade when more cores are needed, then the 7200 is a good choice. What GPU are you going to use?
