Simple question,simple answer.

It's a boxed retail version of the E5200 on Newegg :

I do believe it does,but if it doesn't,I won't have a tube of thermal grease hanging around to apply and I'm not going to fry my CPU,either.

It should come with pre-applied thermal compound,but if not,just buy a tube at your local computer store,apply as necessary and you should be good to go.Goodluck.
