It's a boxed retail version of the E5200 on Newegg : http://www.newegg.com/Product/Product.aspx?Item=N82E168... I do believe it does,but if it doesn't,I won't have a tube of thermal grease hanging around to apply and I'm not going to fry my CPU,either.
