CPU install problems - comp won't start properly

I've recently added RAM, grafix and a CPU, and by reverting t old components have narrowed the problem to the newly installed E8400.

When I put the E2140 in my comp (with/without a fan) the comp will happily boot and allow me into the bios
When I put the E8400 in my comp (with fan) the comp will try and start, but reset in a second before the screens engage

Mobo: Gigabyte Ga-P35-DS4

I have tried resetting the CMOS with a jumper.

Suggestions?

Jitpublisher is most likely correct and you'll need to update your bios. There are actually 4 versions of your motherboard- 1.0 1.1 2.0 and 2.1

Depending on with stepping(C0 or E0) you have, you need bios version F11 or F13.
There is also version f14a but its listed as a beta version, so I would go with version F13. You can find them all here.
