Motherboard/Memory stability issues.

So I recently purchased an ASRock G31M-S motherboard and received G.Skill F2-6400CL4D-GB PI-Black memory for X-mas, I finally got everything setup to find after running 3 seconds of Orthos (CPU and memory burn) it tells me I have errors. I have run just the CPU burn for over 6 hours stable, but when i use it in conjunction with the memory test i get instant errors. Currently my memory is at 652Mhz with 2.041v on the memory at 4-4-4-12 settings (also in motherboards memory compatibility mode), these should be lax settings for the memory considering the stock is 4-4-4-12@ 1.8-1.9 at DDR2 800. I have no clue how to get the memory stable, maybe its just incompatibility, but I'd like to hope not.

system specs:
ASRock G31M-S(1043 Mhz FSB)
G.Skill F2-6400CL4D-GB PI-B
Radeon HD4850, stock clocks
BFG 800w ES PSU
Samsung Spinpoint F1 750GB
Intel E2160@2347 MHz(used ASRocks jumper motherboard jumper to get from 800Mhz to 1066Mhz) stock voltage
runs at 21c idle 42c load with AC 7 freezer.

It sounds like this is while the CPU is overclocked. If so, that means your overclock is not stable. I'd put the CPU back to normal, then concentrate on getting the memory working. Definitely set the memory voltage back to 1.9V -- the 2V might be causing problems. Once you've got the memory working at the final speed you want, then go back and start overclocking the CPU.
